The parties agree that purchase of the Products shall be on the basis of the terms set out in the Purchase Order and Falcon’s Terms and Conditions of Purchase in place from time to time which are incorporated in full by this reference except (in each case) to the extent that there is any conflict or inconsistency between Falcon’s Terms and Conditions of Purchase and the terms of the Purchase Order, in which case the terms of the Purchase Order shall apply. Terms and Conditions of Purchase – August 2019
Falcon limits acceptance to the Terms and Conditions of Purchase and shall not be bound by and does not agree to any contractual provisions offered by the Seller save to the extent, if any, that Falcon expressly agrees to the same in writing. The Seller agrees that no actions taken by Falcon shall be interpreted as Falcon’s acceptance of any contractual provisions offered by the Seller.
